TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern your access to and use of the Distillery Products website and your relationship with Distillery Products LLC (“Distillery Products,” “we,” “us,” or “our”). By creating an account, accessing wholesale pricing, requesting a quote, submitting an order, or purchasing products from Distillery Products, you agree to be bound by these Terms.
1. Website Use
The Distillery Products website is intended primarily for business, wholesale, commercial, and product-information purposes.
You agree to use the website only for lawful purposes and in accordance with these Terms. You may not use the website in any manner that could damage, disable, overburden, or impair the website or interfere with another party's use of the website.
Distillery Products reserves the right to restrict, suspend, or terminate access to any account or portion of the website at its discretion, including where we believe an account is being used improperly or in violation of these Terms.
2. Wholesale Accounts
Certain products, pricing, services, and features of the website may be available only to approved wholesale customers.
Creating an account does not guarantee approval for wholesale purchasing or access to wholesale pricing. Distillery Products reserves the right to approve, deny, suspend, or terminate wholesale accounts at its discretion.
Customers are responsible for providing accurate and current business and contact information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
Wholesale pricing, discounts, minimum order quantities, payment terms, and other account-specific terms may vary by customer and may be modified by Distillery Products.
3. Pricing
Wholesale pricing displayed or provided by Distillery Products is intended for approved wholesale customers and may be subject to minimum order quantities, case quantities, customization charges, setup fees, shipping charges, taxes, and other applicable fees.
Prices are subject to change without notice.
A price displayed on the website, provided through an online quote, or communicated by a Distillery Products representative does not constitute a binding offer until the order has been accepted by Distillery Products.
Errors in pricing, product information, availability, or other website information may be corrected at any time.
4. Quotes and Custom Orders
Custom products, custom engraving, branded products, and other made-to-order items may require a written quotation and customer approval before production.
Quotes may include product costs, customization charges, setup fees, artwork fees, shipping charges, taxes, and other applicable costs.
Quotes are subject to expiration and may be revised based on changes in quantities, specifications, artwork, materials, production requirements, shipping costs, or other circumstances.
Once production has begun on a custom or personalized order, cancellation may not be permitted.
5. Artwork, Logos, and Customer-Provided Content
Customers may provide logos, trademarks, artwork, designs, photographs, text, or other materials (“Customer Content”) for use in connection with an order.
By submitting Customer Content to Distillery Products, you represent and warrant that:

You own the Customer Content or have obtained all necessary rights, licenses, and permissions to use it;

You have authorization to request the reproduction, engraving, printing, decoration, or other use of the Customer Content;

The requested use does not knowingly infringe or violate the intellectual property rights, privacy rights, publicity rights, or other rights of any third party; and
-
You have authority to authorize Distillery Products to use the Customer Content for purposes related to fulfilling your order.
You authorize Distillery Products to reproduce, modify as reasonably necessary for production, engrave, print, manufacture, and otherwise use Customer Content solely as necessary to produce and fulfill your order.
Distillery Products does not assume responsibility for determining whether Customer Content is properly licensed or authorized.
6. Customer Indemnification for Artwork and Trademarks
You agree to defend, indemnify, and hold harmless Distillery Products LLC and its owners, employees, contractors, agents, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Customer Content submitted by you;

Your alleged lack of authorization to use a logo, trademark, design, photograph, or other intellectual property;

Claims that Distillery Products' production of your requested products infringes a third party's rights; or
-
Your violation of these Terms.
This provision applies regardless of whether the Customer Content was submitted directly by you or by an employee, representative, agency, designer, distributor, or other person acting on your behalf.
7. Proofs and Customer Approval
For custom orders, Distillery Products may provide artwork proofs, digital mockups, specifications, or other representations for customer approval.
The customer is responsible for carefully reviewing and approving all proofs before production, including spelling, logos, dimensions, placement, colors, artwork, quantities, and other specifications.
Once a proof has been approved, Distillery Products is authorized to proceed with production based on the approved proof.
Distillery Products is not responsible for errors contained in customer-approved artwork or proofs.
8. Product Variations
Products made from glass, leather, metal, wood, natural materials, or other materials may contain minor variations in color, texture, dimensions, finish, thickness, weight, or appearance.
Minor variations may occur between individual products and production runs and do not necessarily constitute defects.
For decorated, engraved, or customized products, variations in engraving depth, appearance, placement, or finish may occur as part of the production process.
9. Orders and Acceptance
All orders are subject to acceptance by Distillery Products.
Distillery Products reserves the right to refuse, cancel, or limit an order for any reason, including product availability, pricing errors, credit issues, suspected fraud, production limitations, or other business considerations.
An order is not considered finally accepted until confirmed by Distillery Products.
10. Payment Terms
Terms are Net 30 Days on approved credit only.
Net 30 payment terms are available only to customers who have been approved for credit by Distillery Products. Approval for Net 30 terms is at the sole discretion of Distillery Products and may be modified or revoked at any time.
Customers who have not been approved for Net 30 terms are required to pay for orders according to the payment method and terms provided at the time of purchase.

Payments may be made through the Distillery Products website or through a requested invoice.
Customers are responsible for paying all invoices in accordance with the payment terms stated on the invoice.
